These Terms and Conditions of Use (“Terms”) govern access to and use of the website, online platform, and related services (collectively, the “Site”) operated by WonderTap Inc, a Delaware corporation (“Company,” “we,” “our,” or “us”). By creating an account, accessing the Site, or using our CO₂ cylinder exchange services (“Services”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Site or Services.
1.1. You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to use the Services. By creating an account, you represent that you meet this requirement.
1.2. To use the Services, you must create an online account. During registration, you agree to provide accurate, current, and complete information, including your name, service address, email address, phone number, cylinder type, and payment details.
1.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
1.4. Accounts are personal to the Customer and may not be transferred without our prior written consent.
2.1. The Services are available only in designated service areas as posted on the Site. We reserve the right to refuse or cancel service requests outside these areas.
2.2. We will make reasonable efforts to complete exchanges within the designated service day; however, we do not guarantee exact delivery or pickup times.
2.3. You must provide safe, unobstructed, and lawful access to the service address to enable pickup and delivery.
3.1. The Services consist of local delivery and exchange of CO₂ cylinders. Customers shall place empty cylinders in an accessible outdoor location at the designated service address on their assigned swap day.
3.2. We will exchange the number of cylinders left out and charge your account accordingly. There is no limit on the number of cylinders exchanged.
3.3. Ownership of Cylinders: Unless otherwise stated, all cylinders delivered by us remain the property of the Company and are provided for use only. Title to such cylinders does not transfer to you.

4.1. All payments are processed via Stripe. By providing your credit card or other payment details, you authorize us to charge your account for Services performed.
4.2. Charges will only be incurred after a successful exchange has taken place.
4.3. Prices for cylinder exchanges are posted on the Site and are subject to change at our sole discretion. We reserve the right to modify pricing, promotions, or discounts at any time.

6.3. The Company disclaims liability for injuries, property damage, or losses arising from unsafe or improper use of cylinders.
7.1. By creating an account, you consent to receive service-related communications from us via email, SMS, or phone, including reminders, confirmations, and service updates.
7.2. You may opt out of promotional communications, but service-related notices are required for participation in the Services.
8.1. All content on the Site, including text, logos, graphics, and software, is owned by or licensed to the Company and is protected by intellectual property laws.
8.2. You may not reproduce, distribute, or modify Site content without our prior written consent.
9.1. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available on our website and incorporated by reference into these Terms.
10.1. The Site and Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied.
10.2. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11.1. To the maximum extent permitted by law, the Company and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, even if advised of the possibility of such damages.
11.2. Our total liability for direct damages arising out of or related to the Services shall not exceed the total amount paid by you for the exchange giving rise to the claim.
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, and contractors from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, violation of these Terms, or misuse of CO₂ cylinders.
We shall not be liable for any delay or failure in performance due to causes beyond our reasonable control, including but not limited to weather, natural disasters, labor disputes, governmental restrictions, supply chain interruptions, or other force majeure events.
14.1. These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
14.2. Any dispute arising under or related to these Terms shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.
14.3. Notwithstanding the foregoing, either party may bring an action in small claims court for eligible claims.
We may revise these Terms at any time by posting updated Terms on the Site. Continued use of the Site or Services after such updates constitutes acceptance of the revised Terms.
We reserve the right to suspend or terminate your account or access to the Services at our discretion for any violation of these Terms or for any conduct harmful to the Company, other customers, or third parties.
17.1. These Terms constitute the entire agreement between you and the Company with respect to the Services.
17.2. If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.
17.3. Certain provisions, including but not limited to Sections 5 (Customer Responsibilities), 6 (Safety Disclaimer), 11 (Limitation of Liability), and 12 (Indemnification), shall survive termination.
17.4. Our failure to enforce any provision shall not constitute a waiver of that provision.
